PACKING

The Sugar shall be packed in 50 kg. Net Wgt./50.172 kg Gross Wt. Poly-lined New Jule Bags. Each bag shall be secured by tape to assure the safety of the commodity during ocean transport. Bags shall be branded in indelible ink or paint the English language bearing marks: Made in “Country”; White Refined Sugar; Net Wt: 50.0 kg; Crop Current. (XX bags per sling of XX kg. On each vessel, Seller shall at Seller’s expense supply two (2%) percent of each shipment in empty bags of the same specifications.

DESTINATION & DELIVERY

Destination: CIF ASWP, Delivery for IRAN – IRAQ – KUWAIT – ASIAN COUNTRIES: Extra costs added (+15$/MT).

CONTRACT

Minimum contract: 12 months, Incoterms (CIF-ASWP).

PAYMENT

SPOT PAYMENT: Buyer will issue a transferable, irrevocable Bank Guarantee, total value.

BG – Irrevocable, Divisible, Transferable, Confirmed, Unconditional, Unrestricted, Passive of Transfer, issued by one of the TOP 25 First World Banks, with warranty of Total Funds. This guarantee should be issued by the bank of Buyer, directly to the Bank of the Seller.

CONTRACT PAYMENT:  SBLC or BF, (xx month’s value delivery, for contract guarantee and covering the last xx months deliveries) + MT103/23 or ARDLC, Unconditional, Transferable, Divisible, Irrevocable. PERFOMANCE BOND

The Seller will Post 2% Performance Bond after Receipt of Payment Instrument, within then days. The refinery emitted the Performance Bond to the seller Group, and the seller Group endorsement to the Buyer. The seller Group’s Bank sends 2% Performance Bond to the Buyer’s Bank in favor of the Buyer, issued and confirmed by international First Class Bank.

PROOF OF PRODUCT

The refinery sends a letter of commitment to ensure the provision of product during the twelve months. The seller Group issues to the Buyer’s bank by Swift, issued/confirmed by international First Class Bank.

INSPECTION

S.G.S. Inspection for Quality and Quantity Service at Seller’s Cost shall inspect the Commodity at Place of Loading.

INSURANCE

110% of the CIF Value of each shipment on the Sellers’s account. read more

TERMS OF PAYMENT

1.        PAYMENT

1.1. Buyer shall issue payment instrument to Seller's designated bank account. The payment instrument shall be an Irrevocable, Revolving,  Fully-funded DLC covering the value of monthly delivery of the product, payable at Seller's designated bank.

1.2. The amount payable by Buyer to Seller shall be the amount set out in the applicable Seller’s Proforma invoice. Such amount shall be calculated by multiplying the unit price by the quantity stated.

1.3.  If in the Seller’s reasonable judgment, Buyer’s financial capability has become impaired or unsatisfactory, Seller may, by giving not less than 30 days written notice together with evidence reasonably required by Buyer, require the Buyer to deliver a guarantee satisfactory to the Seller. If the Buyer fails to deliver such a guarantee, the Seller may terminate this Contract and shall be entitled to the remedies set forth in this Contract.

1.4.Operation Procedures:

1.4.1             Both parties sign the Agreement and lodge same with their respective banks.

1.4.2             Buyer's bank opens communication with Seller's bank for the purpose of issuing the payment instrument DLC. The two banks shall agree on format of the DLC.

1.4.3             Within five (5) banking days after the signing of this Contract, Buyer’s bank shall issue the payment instrument - Confirmed, Irrevocable, Revolving, Fully-Funded DLC issued from a First Class International Bank in favor of Seller, covering the value           of monthly delivery of Product - to Seller’s designated bank account.

1.4.4             In the case of a delay in issuing the payment instrument, the penalty clause shall apply as per Clause 12.2 of the present contract. Buyer shall be responsible to pay penalty as defined therein.

1.4.5             Upon confirmation of DLC in his bank account, Seller's bank shall issue to Buyer a Performance Bond equivalent to 2% of LC value, which shall be a guarantee of Seller's readiness to perform.

1.4.6             Seller commence loading operations within the time-frame agreed to by the parties.

1.4.7             Seller submits all loading documents to his bank and receives payment for          delivered product in his account with 48 (forty eight) hours of presenting the           documents.

1.5.Each Party hereto will bear its respective banking costs and charges.

Basic Procedures for Products being sold on a CIF Basis:

1. Buyer confirms soft offer (or this document) from mandate and issues An ICPO and BCL with Right for soft probe.

2. Within 2 banking days Seller issues FCO

3. Buyer signs and returns FCO

4. Within 3 Banking days Seller issues draft Contract open for amendments

5. Buyer within 3 days returns signed draft contract

6-Within 5 banking days Buyer’s bank issues via swift irrevocable Non- operative LC /BG/SBLC to seller bank for one month delivery value to Be activated by full POP within 7 banking days

7-Payment is affected by swift MT103 to Seller's Bank upon confirmation of Q & Q – CPA – B/L at port of loading or discharge.

8-Delivery commence as scheduled.

All shipping commence within 21 days from receiving buyers bank instrument.
